Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and n1d Inc. ("n1d," "we," "us," or "our"). They govern your access to and use of n1d's websites, learning platform, course content, videos, downloadable resources, community spaces, AI-enabled features, communications, and any related products or services that link to these Terms (collectively, the "Services").

By creating an account, purchasing a subscription, accessing content, joining a community space, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.

These Terms do not limit rights that cannot be waived under applicable law. If a separate written agreement between you and n1d covers a specific product, plan, cohort, team account, or enterprise purchase, that separate agreement controls to the extent of any conflict.

2. Who may use n1d

The Services are intended for adults building practical data skills. You must be at least 18 years old, or the age of legal majority where you live, to create an account or purchase paid Services. You may not use the Services if applicable law prohibits you from doing so or if we have previously suspended or terminated your access for violating these Terms.

You are responsible for making sure that your use of the Services complies with the laws, rules, and policies that apply to you, including any employer, school, or professional obligations.

3. Accounts and security

You must provide accurate account and billing information and keep it current. You are responsible for activity that occurs through your account, including activity by anyone who uses your credentials or devices. You must keep your login credentials confidential and notify us promptly through the contact page if you believe your account has been compromised.

We may refuse, reclaim, or require you to change a username, profile name, or other account identifier if we reasonably believe it is inaccurate, misleading, unlawful, infringing, or likely to cause confusion.

4. The Services

n1d provides self-serve learning experiences for early-career professionals transitioning into data roles. The Services may include courses, lessons, videos, transcripts, exercises, templates, downloadable files, events, community channels, assessments, product recommendations, and AI-supported learning workflows.

We may add, change, suspend, or discontinue parts of the Services at any time. We work to keep learning materials accurate and available, but we do not guarantee that any particular course, lesson, feature, instructor, file, event, or community space will always be available.

5. Educational information, not professional advice

The Services are for educational and informational purposes only. n1d does not provide legal, financial, tax, accounting, recruiting, employment, immigration, medical, or other regulated professional advice. Course examples, templates, portfolio suggestions, interview guidance, and career-related materials are general learning resources and are not a promise that you will obtain a job, promotion, certification, credential, income level, or specific professional outcome.

You are responsible for your own decisions, work product, job applications, workplace conduct, and use of any tools, code, datasets, templates, or recommendations discussed in the Services.

6. License to use n1d content

Subject to these Terms and your continued compliance with them, n1d grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and n1d content for your own learning and professional development.

You may not copy, share, resell, publish, livestream, scrape, download in bulk, redistribute, sublicense, create competing products from, or otherwise exploit the Services or n1d content except as expressly allowed by these Terms or by written permission from n1d. Downloadable templates, worksheets, and similar resources may be used for your personal learning, portfolio practice, and individual professional workflows, but may not be redistributed as standalone products or training materials.

All rights not expressly granted are reserved by n1d and its licensors.

7. Your content

"User Content" means anything you submit, upload, post, send, store, or make available through the Services, including profile information, comments, community posts, assignment work, prompts, answers, files, feedback, and support messages.

You retain ownership of your User Content. You grant n1d a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, adapt, and use your User Content as needed to provide, secure, maintain, improve, and support the Services. This license includes the right to use service providers that help us operate the Services.

You represent that you have all rights needed to provide your User Content and that your User Content does not violate law, infringe anyone's rights, expose confidential information without authorization, or contain malicious code. Do not submit sensitive personal information, regulated data, trade secrets, or employer-confidential information unless you have authority to do so and the relevant Services are intended for that use.

If you send feedback, ideas, suggestions, or improvement requests, you allow n1d to use them without restriction or compensation to you.

8. AI-enabled features

Some Services may use artificial intelligence or third-party AI providers to summarize, explain, generate examples, draft responses, recommend learning paths, or otherwise support your learning. AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances. You are responsible for reviewing and validating AI outputs before relying on them.

You may not use AI-enabled features to generate unlawful, harmful, infringing, deceptive, privacy-invasive, or abusive content. You may not submit sensitive personal information, confidential employer information, credentials, payment data, or other high-risk information into AI features unless the feature expressly says it is designed for that information.

9. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes:

  • Violating laws, regulations, third-party rights, or these Terms
  • Sharing account access, bypassing paywalls, or using another person's account without permission
  • Copying, scraping, crawling, harvesting, bulk downloading, or indexing the Services except through interfaces we provide
  • Reverse engineering, probing, interfering with, or attempting to access non-public systems, source code, models, APIs, or data
  • Uploading malware, harmful code, spam, phishing, or deceptive content
  • Harassing, threatening, abusing, doxxing, impersonating, or discriminating against others
  • Posting content that is unlawful, defamatory, obscene, exploitative, hateful, or otherwise harmful
  • Using the Services to build, train, benchmark, or improve a competing product without written permission
  • Removing proprietary notices or misrepresenting n1d content as your own
  • Attempting to circumvent usage limits, security measures, access controls, or billing systems

We may investigate suspected violations and may remove content, limit features, suspend accounts, or terminate access when we reasonably believe it is necessary to protect users, n1d, third parties, or the Services.

10. Payments, subscriptions, and renewals

Some Services are paid. Prices, billing periods, taxes, renewal terms, included features, and cancellation options will be disclosed at purchase or in the relevant plan description. Payments are processed by third-party payment processors, and your use of their services may be subject to their terms and privacy notices.

If you purchase a subscription, you authorize n1d and its payment processors to charge your selected payment method for recurring subscription fees, applicable taxes, and other disclosed charges until you cancel. Subscriptions renew automatically unless canceled before the renewal date. You are responsible for keeping your payment method current. If a charge fails, we may retry the charge, suspend access, downgrade your plan, or terminate paid features.

You can cancel a subscription through the account or billing controls we provide, or by contacting us through the contact page. Cancellation takes effect at the end of the then-current billing period unless the purchase flow or applicable law says otherwise. Except where required by law or expressly stated in a separate refund policy, fees are non-refundable and we do not provide credits for partial billing periods, unused content, missed events, or account inactivity.

We may change prices or plan features prospectively. If a change affects an active subscription, we will provide notice as required by law and give you an opportunity to cancel before the change applies.

11. Trials, promotions, and beta features

Trials, discounts, coupons, grants, scholarships, or promotional offers may have additional terms, eligibility rules, expiration dates, and usage limits. Unless we say otherwise, promotional offers are not transferable, cannot be redeemed for cash, and may be modified or discontinued at any time.

Beta, preview, experimental, or early-access features may be incomplete, unavailable, changed without notice, or removed. You use those features at your own risk.

12. Third-party services and links

The Services may integrate with or link to third-party products and services, including payment processing, video hosting, analytics, authentication, email, cloud storage, community platforms, and AI providers. n1d does not control third-party services and is not responsible for their content, policies, availability, security, or practices. Your use of third-party services is governed by their own terms and privacy notices.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that we may collect, use, disclose, and protect information as described there and as otherwise permitted by law.

14. Intellectual property and copyright concerns

The Services, including course materials, videos, transcripts, exercises, interface designs, software, text, graphics, logos, trademarks, and other content, are owned by n1d or its licensors and are protected by intellectual property and other laws.

If you believe content on the Services infringes your copyright, contact us through the contact page with enough detail for us to review the issue, including identification of the copyrighted work, the allegedly infringing material, your contact information, and a statement that you have a good-faith belief that the use is not authorized.

15. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access, remove content, or limit features if we reasonably believe you violated these Terms, created risk or possible legal exposure, failed to pay amounts owed, used the Services in a way that could harm others, or if we discontinue the relevant Services.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property terms, disclaimers, limitations of liability, indemnity, dispute resolution, and general legal terms.

16. Disclaimers

The Services and all content are provided "as is" and "as available." To the fullest extent permitted by law, n1d disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and course outcome.

n1d does not warrant that the Services will be uninterrupted, secure, error-free, current, or free from harmful components, or that any learning path, recommendation, AI output, template, lesson, community interaction, or career-related material will meet your expectations or produce a particular result.

17. Limitation of liability

To the fullest extent permitted by law, n1d and its directors, officers, employees, contractors, affiliates, licensors, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, lost opportunities, business interruption, reputational harm, or substitute services, even if advised that such damages are possible.

To the fullest extent permitted by law, n1d's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to n1d for the Services giving rise to the claim during the three months before the event giving rise to liability, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so parts of this section may not apply to you.

18. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless n1d and its directors, officers, employees, contractors, affiliates, licensors, service providers, and agents from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your User Content, your use or misuse of the Services, your violation of these Terms, your violation of law, or your infringement or misappropriation of any third-party rights.

19. Dispute resolution

Please contact us first so we can try to resolve concerns informally. Before filing a claim, you agree to send a written notice through the contact page describing the dispute, the relief requested, and your contact information. We will do the same if we have a dispute with you. The parties will try in good faith to resolve the dispute for 30 days after notice is received.

If the dispute is not resolved informally, you and n1d agree that disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except that either party may bring qualifying claims in small claims court or seek injunctive relief for unauthorized use of intellectual property or the Services. You and n1d waive the right to a jury trial and to participate in a class action, class arbitration, private attorney general action, or other representative proceeding.

You may opt out of this arbitration agreement within 30 days after you first accept these Terms by sending written notice through the contact page. If you opt out, all other parts of these Terms remain in effect. If applicable law does not allow this arbitration agreement or class action waiver to apply to a particular claim, that claim may proceed in court, but only to the extent required by law.

20. Governing law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, unless applicable law requires otherwise. If a dispute is not subject to arbitration and may be brought in court, you and n1d consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, unless applicable law requires a different forum.

21. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means, such as posting the updated Terms, updating the "Last updated" date, sending an email, or providing notice in the Services. Changes take effect when posted unless a later date is stated. Your continued use of the Services after changes take effect means you accept the updated Terms.

22. General terms

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. If any part of these Terms is found unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with any policies or separate agreements that apply to your use of the Services, are the entire agreement between you and n1d regarding the Services.
